This page gives information about the property rights within the Holding.
All intellectual property rights are in the hands of the Holding So Speak!....Ltd
Participants become co-owners of the rights.

The participants
By BUSINESS-investors we mean participants, more than shareholders.
In our view these are often prosperous companies/organizations or wealthy individuals professionally engaged in accruing ”returns”.
Returns may, but not necessarily, be financial in nature; Returns can also be:
bringing about social or societal change for the benefit of (their) target Group,
or money value continuation cq. increasing of the value of your money;
or increasing of knowledge / network / markets / imago, etc..
In short:
BUSINESS investors who want to invest in us are active in initiating “the light of socio-economic progress”.

Over a period of 5 years, all participants invest a total amount of € 25.000.000 (TWENTY FIVE MILLION EURO’s) in the Holding Ltd.
Participants can thus obtain a joint total of 80% of the shares in the Holding BV.
The other 20 percent, the so-named ‘priority shares’, are intended for Casting International.
Casting International brings a value of €. 5.000.000 (FIVE MILLION EURO’s) into the holding through intellectual property rights of fomats and projects, plus all the work invested over the last 25 years, and a % for goodwill.
These financial underpinnings can be accessed.

To participate, a BUSINESS-investor can take a minimum share  of €25.000 (TWENTY FIVE THOUSAND EURO’s) (= 0,001% stake in the holding company)
The maximum amount per BUSINESS Funder is € 5,000,000 (FIVE MILLION EURO’s) (= max 20% share in the Holding)
This maximum per shareholder creates greater and more varied support within the total.

Participation investments are necessary to cover the costs of the logistical infrastructure.
During a period of 5 - 7 years, in which we follow a participation roadmap.

The logistical infrastructure that is funded by participants that serves the Holding consists (amongst others):
●  Formation costs of companies, such as notary fees, Chamber of Commerce, etc.
●  Labour costs for permanent staff and staff-staff executives
●  Material costs (computers, software, cameras, sound equipment, lighting, editing equipment, fixed sets, etc.)
●  Office work budgets for variable and fixed costs, such as rent, gas, water and electricity
●  Fees for (external) consultants.
●  Pre-financing of the 3 starting-up documentaries
●  All pre-production-realizations

Pre-productions are:

	- Script-writings	(= prose with the monologues of storytellers) example:
	- Scenario-writings	(= prose with the film visualizations)
	- Screenplay-writings	(= prose with shooting + editing instructions how the film is to be made)
	- Productie-breakdowns	(= prose of all renting ingredients image on filming)
	- Financial breakdowns	(= financial underpinning of production costs of the relevant filming)
	- Expeditie treatments	(= prose treatise on how realisation of production targets are described)

Restrictions in participation for the participants are:
Participations give ''bare'' co-ownership, ie from the start time and during the coming 5 years all the powers of the participants are dressed in procedures by them, except for the following items:

● All keys / formulas as been given in this website;
● The exclusive right of editorial independent of Casting International in the content of storytelling;
● The directors cut;
● The cinematography- and production standards & policy documents;
Participants mainly direct the management of the commercial and international cooperation impact.

Why is it interesting to participate with us?
● You get a high return.
    In a period of 5 to 7 years, the participant receives a 30% fixed interest on the deposited funds
    (= ± 6 % average gross interest per year).
● A participant is a shareholder / co-owner of all the rights in the Holding BV without liability risks,
    because the Holding So speak!... Ltd does not deal with external parties.
● You invest in a socially responsible manner in a social enterprise, not a commercial enterprice:
    money is not the goal, but a necessary means.
● After 5-7 years you receive the biggest advantage: the format will be rolled out by country:
    each country gives 30 % fixed rate on the amount invested

The Crowd-investors
The crowd investors finance the individual film productions in the series.
These are in particular private investors.
The maximum investable amount is €. 10,000 (TEN THOUSAND EURO’s) per film,
or €. 40,000 (FORTY THOUSAND EURO’s) per series (each series consists of 4 films).
The minimum investable amount is €. 500 (FIVE HUNDRED EURO’s) per film.

A CROWD-investment gives 40% fixed rate interests in max. 3 years.
This maximum period of 3 years is necessary
because organizing a half years, and the production & distributions take 2 ½ years.
The most interesting thing about this investment is that the CROWD-funders contribute to a better World / Charities, which has lots of extras and great benefits, including:

-	the opportunity to joint-write some scripts, and
-	The right to 2 presentations (before and after the expedition), and
-	A DVD of the co-financed film, and
-	Being able to look at the shootings in Uganda through a ‘’own’’ videoproduction-team.
